BY USING OUR WEBSITE OR BY CLICKING TO ACCEPT OR AGREE TO OUR TERMS OF USE WHEN THIS OPTION IS MADE AVAILABLE TO YOU, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND THESE TERMS OF USE, AND THAT YOU ACCEPT AND AGREE TO BE BOUND AND ABIDE BY THESE TERMS OF USE AND ALL DOCUMENTS INCORPORATED HEREIN BY REFERENCE. By using our Website, you represent and warrant that you are of legal age to form a binding contract with SAMII; if you accept or agree to these Terms of Use on behalf of another individual, or a company, university, or other legal entity, you also represent and warrant that you have the legal authority to do so and in such event, the uses of “you” or “your” in these Terms of Use will refer and apply to such third party. If you do not meet all of these requirements, you must not access or use our Website.
B. CHANGES TO OUR TERMS OF USE
1. We may revise and update these Terms of Use or any documents incorporated by reference from time to time in our sole discretion, and when we do so, we post the updated Terms of Use to our Website. All changes are effective immediately when we post them to our Website and will apply to all access to and use of our Website thereafter; if the revised Terms of Use or any documents incorporated by reference are not acceptable to you, your only recourse is to stop using our Website.

(d) If you have a SAMII account to use our services through our Website and have specific login credentials, such as a user name, password or any other piece of information given as part of our security procedures (collectively “User ID”), your User ID must be treated as confidential, and you must not and will not disclose such information to any other person or entity. You also acknowledge that your User ID is personal to you – for your individual and exclusive use only – and that you expressly agree not to provide any other person or entity with your User ID or allow them to access your SAMII account, our Website or portions of our Website to obtain services without our authorization. From time to time we may require that you change your password. You agree to notify us immediately of any suspected or confirmed unauthorized access to or use of your User ID or any other breach of security that could affect us or our services to you. You also agree to ensure that you exit from your SAMII account at the end of each session. You should use particular caution when accessing your SAMII account from a public or shared computer so that others are not able to view or record your User ID, your other personal information, or information that we generate or display on our Website.
(e) You are prohibited from using any services or facilities provided in connection with the Website to compromise security or tamper with system resources and/or accounts. The use or distribution of tools designed for compromising security (e.g., password crackers, rootkits, Trojan horses, or network probing tools) is strictly prohibited. If you become involved in any violation of system security, we reserve the right to release your account details to the system administrators of other websites and/or the authorities in order to assist them in resolving security incidents. We have the right, but we are not obligated, to disable any User ID or other identifier, whether chosen by you or provided to you by us, at any time in our sole discretion if, in our opinion, you have violated any provision of these Terms of Use. We may also consult and cooperate with law enforcement authorities to prosecute users who violate the law.
3. Intellectual Property Rights
(a) Our Website and its entire contents, features and functionality (including but not limited to all information, software, text, displays, unique color choices, images, video and audio, and the design, selection and arrangement thereof), are owned by SAMII, SAMII’s licensors or other providers of such material, and are protected by United States and international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws.
(b) These Terms of Use permit you to use our Website for the purposes specified on our Website or in any service agreement we have together only. You must not – and by using our Website, you agree not to – reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store or transmit any of the material on our Website, except as follows:
(i) Your computer may temporarily store copies of such materials in random access memory (or RAM) incidental to your accessing and viewing those materials.
(ii) You may store files that are automatically cached by your Web browser for display enhancement purposes.
(iii) You may print or download information provided on our Website in accordance with the services that SAMII provides to you for your personal or internal business purposes only, and not for further reproduction, publication or distribution to third parties that are not part of your internal business.
(iv) If we provide desktop, mobile or other applications for download, you may download a single copy to your computer or mobile device solely for your own use in accordance with our Terms of Use and any service agreement we have together, provided you agree to be bound by any end-user license agreement for each such application.

(ii) use any illustrations, photographs, video or audio sequences or any graphics separately from the accompanying text;
(iii) delete or alter or obscure any copyright, trademark, service mark or other proprietary rights notices from copies of materials from our Website.

SAMII’s name, logo and all related names, logos, product and service names, designs and slogans are trademarks of SAMII or SAMII’s affiliates or licensors. You must not – and by using our Website, you agree not to – use such marks without the prior written permission to you from SAMII. All other names, logos, product and service names, designs and slogans on our Website are the trademarks of their respective owners.
5. Prohibited Uses
(a) You may use our Website only for lawful purposes and in accordance with these Terms of Use and any service agreement we have together. You agree not to use our Website:
(i) in any way that violates any applicable federal, state, local or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the United States of America (the “USA”) or other countries) or would give rise to civil liability;

(iv) to do anything that is defamatory, obscene, pornographic or vulgar;
(v) to share your User ID or make the functionality of the password-access portion of our Website available to multiple users through any means; or
(vi) to engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of our Website, or which, as determined by us in our reasonable business judgment, may harm SAMII or users of our Website or expose SAMII and/or our Website users to liability, violence or injury.
(b) Additionally, you agree not to:

SAMII and this Website are based in the USA. We currently provide our Website for use only by persons who are located in the USA. If you access our Website from outside the USA, you do so on your own initiative and you are solely responsible for compliance with local laws.

15. Indemnification
You agree to defend, indemnify and hold harmless SAMII, SAMII’s affiliates, licensors and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of Use or your use of our Website, including, but not limited to, any use of our Website’s content, services and products other than as expressly authorized in these Terms of Use, any service agreement we have together, or your use of any information obtained from our Website.
16. Governing Law, Jurisdiction and Dispute Resolution
(a) All matters relating to our Website and these Terms of Use and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), will be governed by and construed in accordance with the laws of the State of Colorado without giving effect to any choice or conflict of law provision or rule.
(b) Any legal suit, action or proceeding arising out of, or related to, these Terms of Use or our Website will be instituted exclusively in the federal courts of the United States or the courts of the State of Colorado in each case located in the City of Denver and County of Denver although we retain the right to bring any suit, action or proceeding against you for breach of these Terms of Use in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts. You also waive any rights to trial by jury.
(c) At SAMII’s sole discretion, SAMII may require you to submit any disputes arising from the use of our Website or these Terms of Use, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination to final and binding arbitration.
(d) If a dispute arises between you and us regarding the respective rights or obligations under these Terms of Use, the parties agree to first attempt to settle each such dispute by direct discussions. If such dispute cannot be settled by direct discussions, any unresolved dispute or breach will be resolved as provided above and by law. The prevailing or non-dismissing party in any dispute, litigation, or cause of action related to these Terms of Use will be entitled to reimbursement of all reasonable expenses, including without limitation court or arbitration or mediation costs and attorney fees incurred in good faith.
17. Limitation on Time to File Claims
ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR OUR WEBSITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES, OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.
18. Waiver and Severability
(a) No waiver of by SAMII of any term or condition set forth in these Terms of Use will be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of SAMII to assert a right or provision under these Terms of Use will not constitute a waiver by SAMII of such right or provision.
(b) If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of these Terms of Use will continue in full force and effect.

20. Entire Agreement
